These Terms of Service ("Terms") govern access to and use of the Relaxfolio website, applications, and related services (collectively, the "Service") operated by Relaxfolio ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Relaxfolio provides software tools that help users research US-listed stocks and ETFs through natural-language queries, structured tables, charts, heatmaps, and related informational content. The Service is intended for informational and research purposes only.

2. Not investment advice

Relaxfolio does not provide investment, financial, legal, tax, or trading advice. Nothing in the Service constitutes a recommendation to buy, sell, or hold any security or to adopt any investment strategy. All investment decisions are made solely by you, at your own risk.

Output generated by the Service may be incomplete, delayed, inaccurate, or unsuitable for your circumstances. You are responsible for verifying information independently and for consulting qualified professionals before making financial decisions.

3. Accounts and eligibility

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old (or the age of majority where you live) to use the Service.

4. Membership and billing

Paid membership, pricing, billing intervals, renewal, cancellation, refunds, and any usage limits are described at checkout or in your account area when you subscribe. We may change pricing or membership features for new subscriptions with notice where required. Continued use after a change may constitute acceptance of updated terms applicable to your subscription.

Except where required by applicable law, fees are non-refundable once a billing period has started. We do not guarantee uninterrupted access to the Service.

5. Acceptable use

You agree not to:

• use the Service for unlawful, fraudulent, or abusive purposes;
• attempt to gain unauthorized access to systems, accounts, or data;
• scrape, crawl, bulk-export, or systematically copy Service content or outputs except through features we provide;
• reverse engineer, decompile, or attempt to extract source code, models, or underlying datasets except where permitted by law;
• interfere with or overload the Service, including by automated requests beyond normal personal use;
• misrepresent AI-generated or aggregated output as guaranteed, audited, or professional advice;
• resell, sublicense, or commercially redistribute the Service without our written consent.

We may suspend or terminate access if we reasonably believe you have violated these Terms or if your use poses risk to the Service or other users.

6. Intellectual property

The Service, including its software, design, branding, curated datasets, themes, commentary, and documentation, is owned by Relaxfolio or its licensors and protected by applicable intellectual-property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for personal research in accordance with these Terms.

Market data, company information, and third-party content displayed through the Service remain subject to the rights of their respective owners. You may not remove proprietary notices or use our trademarks without permission.

7. User content and feedback

Queries, saved screens, feedback, and other material you submit may be used to operate, maintain, and improve the Service. You grant us a worldwide, royalty-free license to use submitted feedback without restriction. Do not submit confidential information you expect us to treat as private unless we have agreed otherwise in writing.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT OUTPUT WILL MEET YOUR REQUIREMENTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELAXFOLIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Relaxfolio and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

11. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory local consumer protection laws apply.
